Complete Formations provides dormant company registration services for those who wish to register and protect a company name. The facilities allow visitors to incorporate a company as dormant and then provide information on submitting DCA accounts to Companies House.

The services are useful to sole trader business and to person who already own a company. A sole trader will typically wish to restrict others from registering a company with the same name as their unincorporated business and thereby avoid their customers contact the other party by mistake.

The instances of this happening are likely to increase where the sole trader business and the limited company are engaged in the same industrial sectors.

The same motivations may also be held by a person who already owns a limited entity and chooses to form a dormant company using similar names to the one they have previously registered.

This again might reduce the chances of a third party taking that name and causing confusion among customers.

The dormant company formation requirements are the same as for other incorporated trading entities. On registration, all companies are deemed to be dormant by default and all that is required for it to remain so, is for it not to engage in any trading activities.

Dormant companies are required to file an annual return and to submit their accounts within 9 months of their financial year end. Whilst they can file normal statutory accounts, most opt to simply complete the dormant company accounts form which requires a few entries and can be files online.
